By accessing our website, purchasing licenses, or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Services Offered

Our services and offerings may change from time to time, and we reserve the right to modify or discontinue any offering without prior notice.

2. Eligibility

You must be at least 18 years old and legally competent to enter into contracts under the Indian Contract Act, 1872, to use our services. For corporate clients, the authorized representative must have the necessary authority to bind the organization to these Terms.

3. Software Licenses

  • Software licenses procured through us are governed by the end-user license agreements (EULA) of the respective software publishers.
  • You agree to comply with all license terms, usage restrictions, and intellectual property rights as set forth by the software provider.
  • We act solely as a reseller/distributor (unless otherwise specified) and are not responsible for software functionality or vendor limitations.

4. Fees and Payments

  • All fees for licenses and services will be communicated in advance, either through quotation, proposal, or invoice.
  • Payments are due as per the agreed terms, and delays may attract interest charges.
  • Prices are exclusive of applicable GST or other taxes unless stated otherwise.
  • We accept payments through bank transfer, online payment gateways, or any other notified method.

5. Support and Service Commitments

  • We provide implementation and support services as per agreed service levels (SLA) or engagement contracts.
  • Any third-party software warranty or support remains the responsibility of the respective vendor.
  • We are not liable for downtime, disruptions, or loss of functionality caused by third-party providers.

6. Client Responsibilities

  • You are responsible for providing accurate information, required infrastructure, and necessary access for us to deliver services.
  • You agree not to misuse our services, infringe intellectual property rights, or attempt unauthorized access to systems.
  • You are responsible for maintaining data backups unless explicitly included in the scope of our services.

7. Confidentiality

Both parties shall maintain confidentiality of any proprietary or sensitive information shared during the engagement. Confidentiality obligations survive termination of services.

8. Limitation of Liability

  • We shall not be liable for indirect, incidental, or consequential damages arising from the use of our services or third-party software.
  • Our total liability, in any case, shall not exceed the amount paid by you for the specific service or license giving rise to the claim.

9. Termination

  • Either party may terminate services by providing written notice as per agreed engagement terms.
  • Non-payment, misuse, or breach of these Terms may result in suspension or termination of services.
  • Upon termination, all amounts due must be promptly settled, and you must cease use of any licensed software provided through us (if applicable).

10. Intellectual Property

  • All proprietary tools, methodologies, and deliverables created by us remain our intellectual property unless otherwise transferred in writing.
  • Client-owned data and inputs shall remain the property of the client.

11. Compliance and Legal

You agree to comply with applicable Indian laws, including IT Act 2000, GST compliance, and export/import regulations where applicable. Services may not be used for unlawful purposes.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed under the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai.

13. Changes to Terms

We may update these Terms from time to time. Updated Terms will be published on our website with a revision date. Continued use of our services implies acceptance of updated Terms.
